The confidentiality agreement:
what it actually
protects

Contracts Non-disclosure agreement on a desk

It is the document everyone signs without reading, often two pages downloaded from somewhere. Then comes the day information circulates, and you discover the agreement did not cover what you assumed.

Here is what a confidentiality agreement actually protects, and the four clauses that separate a useful document from a decorative one.

Everything here turns on the Civil Code of Québec, which governs the formation, performance and extinction of contracts, and on what the parties took the trouble to write down.

Defining what is confidential

This is the most decisive clause, and the most often rushed. A definition that is too narrow lets the essentials escape; one that is too broad becomes unenforceable because it captures public information.

The right approach combines a general definition with examples specific to the relationship: financial statements, client lists, prices and margins, processes, source code, development plans.

It should also state whether information given verbally is covered, and whether it must be confirmed in writing within a set period.

Providing for exceptions

Without exceptions the agreement is unenforceable. Four are standard.

Information already public at the time of disclosure, or that becomes public without fault of the recipient. Information the recipient already held legitimately. Information developed independently, without recourse to what was disclosed. And information whose disclosure is required by law or by a court.

That last exception deserves a useful addition: an obligation to notify the other party before disclosing, so that it can object.

Duration and return of material

A perpetual confidentiality obligation over ordinary commercial information is hard to defend. Two to five years matches practice. A trade secret justifies a longer term.

The most useful clause in practice is the return of material: at the end of discussions the recipient returns or destroys the documents and confirms destruction in writing. Without it, the information stays with them indefinitely.

What the agreement does not do

It does not stop a person from using what they learned and remember. That is the fundamental limit of the exercise: you cannot compel someone to forget.

Nor does it replace a non-compete clause or a non-solicitation clause. A competitor who learns the identity of your best clients does not necessarily breach confidentiality by approaching them, if nothing else prevents it.

In a transaction, the three protections combine: confidentiality during discussions, non-solicitation during and after, non-competition if the deal closes.

Disclose in stages

The best protection is not in the document, it is in the method.

In a sale of business, information is released in stages: aggregated financial data first, contract details next, named client and supplier lists last, often after the letter of intent is signed.

A data room with differentiated access rights and an access log is worth more than ten pages of clauses.

Frequently asked questions

Is a confidentiality agreement really useful?

Yes, though not for the reason people assume. It serves less to obtain damages than to define what is confidential, impose an obligation to return material and enable a fast injunction. Its real strength is deterrent and procedural.

What duration should be set?

Two to five years for ordinary commercial information. For a trade secret or a client list, an unlimited duration is defensible, provided the obligation stays proportionate to what it protects.

One-way or mutual?

Mutual as soon as both parties exchange information, which is almost always the case in a transaction. A one-way agreement signed by the buyer alone leaves the seller free to use what it learns about the buyer.

What can be done about a breach?

Act fast. An injunction is the most effective remedy because it stops the spread, whereas damages are hard to quantify. Reaction time matters: a party that tolerates the situation for months weakens its claim.

Before you send anything

A confidentiality agreement is drafted around what will actually be disclosed and what you most fear. A generic template protects the average situation, which is to say none in particular.
